Terms of Service

"Proposal": The entirety of the service proposal document and its appendices, if applicable.

"Provider": Artefact Ventures, including its subcontractors.

"Client": The person or company to whom the proposal is addressed.

"Ad Hoc Project": Any request from the Client that is not included in the Proposal at the time of its signature.

Rates | All prices are subject to tax and validation for each final proposal.

Acceptance | Acceptance through signature of the Proposal, or its explicit approval by email, signifies that both parties accept the terms and conditions mentioned. The person authorizing this Proposal agrees to contract as a representative of their company and to comply with the terms of the agreement.

Termination | Termination of the Proposal is permitted by either party with 30 days' notice, for any reason whatsoever. Artefact Ventures may cancel the Proposal in whole or in part, without incurring any liability to the Client, if the Client fails to comply with any of the terms or conditions stipulated herein.

Payment Terms | Payment terms are due on receipt for professional fees. After 30 days overdue, services will be suspended until payment is received and monthly interest of 2% will apply to the invoice.

Travel | The Provider favors video conference meetings to reduce our environmental footprint. Travel expenses are included within the city of Montreal. Exceptionally, if the Client requires travel by the Provider outside these two cities, this will be billed to the client. All travel will be billable at a rate of $0.61/km. Any other expenses related to travel may be added.

General Provisions | The Provider reserves the right to delegate tasks to subcontractors without notifying the Client, while respecting the confidentiality clauses provided in the Proposal.

Responsibilities | All parties commit to providing in a timely manner the resources and their permanent access according to the needs of the collaboration. Furthermore, each party commits to making transparent all information and events that could disrupt the execution of the collaboration. The Provider guarantees the execution of the services identified in the Proposal and acknowledges having had access to qualified personnel, equipment, and the expertise required to fulfill its obligations.

Under no circumstances can the Provider be held liable for incidental, indirect, exemplary, or punitive damages or those related to loss of profit, revenue, data, rights, or services, or interruption or loss of access to services rendered.

Agreement on Intellectual Property Protection | Any document provided by Artefact Ventures is deemed to be for the exclusive use of the entity billed for the service. The Provider acknowledges that it may, in the course of executing the Proposal, receive confidential information from the Client. It undertakes not to disclose, copy, transfer, or exchange directly or indirectly such information to other parties, except with the prior written consent of the Client. In return, the Client commits to protect and not disclose any confidential information from the Provider that the latter has transmitted to it.

Continuity |In the case of a monthly quote: if the duration is completed, the quote is deemed to continue unless notice of project termination is given.

Additional Billing (Ad Hoc Projects) | It may be understood and discussed in advance that additional work will be required beyond the current quote. In such a case, hours will be billed according to the actual time spent on additional requests. In the event of a request for additional services within a timeframe of less than 14 days, an additional billing rate of 1.5 is applied. For requests submitted within a timeframe of less than 7 days, the hourly rate is doubled.

Decorum | The Provider commits that any action undertaken will be carried out in good faith and in the best interest of the Client. All exchanges undertaken by both parties during the duration of the Proposal will be conducted with respect, listening, and receptiveness. The Provider reserves the right to terminate the Proposal if it deems that these conditions are not respected, at any time, without notice.
